Read our terms of service and usage guidelines for Cadence.

1. Acceptance of Terms

By accessing and using Cadence, you accept and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you must stop using Cadence immediately.

Agreement Formation: You agree to these terms by: (1) clicking "I agree" or similar acceptance button, (2) creating an account, or (3) continuing to use Cadence after these terms are posted. We recommend reviewing these terms each time you access Cadence, as we may update them at any time.

2. Use License and Restrictions

We grant you a limited, non-exclusive, non-transferable license to access and use Cadence for personal and team coordination in accordance with these terms.

Permitted Use

  • Create and manage personal or team accounts for scheduling events
  • Use Cadence for internal team coordination (including within organizations)
  • Use Cadence for paid work, as long as you're not reselling Cadence itself or building competing services on top of it
  • Access and use features available under your subscription tier

Prohibited Use

You agree NOT to use Cadence for any of the following purposes:

  • Any illegal activity or in violation of any applicable laws or regulations
  • Harassment, abuse, threats, or bullying of other users or employees
  • Defamation, libel, slander, or infringement of others' rights
  • Spam, phishing, or fraudulent activities (including creating fake accounts)
  • Scraping, crawling, or automated access to Cadence's data without permission
  • Reverse engineering, decompiling, or attempting to derive the source code of Cadence
  • Removing, obscuring, or altering copyright notices or proprietary information
  • Attempting to gain unauthorized access to Cadence systems, accounts, or data (hacking)
  • Uploading malware, viruses, or malicious code to Cadence
  • Selling or reselling access to Cadence
  • Building a competing scheduling service using Cadence data
  • Scraping or bulk-exporting data to circumvent the service
  • Violating Discord's Terms of Service in your use of Discord integration

Enforcement

We reserve the right to investigate violations and take appropriate action, including terminating your account, without liability.

3. User-Generated Content

Your Content

You are solely responsible for all content you create, post, or transmit on Cadence, including event descriptions, team names, messages, and availability information ("Your Content").

License to Cadence

By uploading Your Content, you grant Cadence a worldwide, royalty-free, non-exclusive license to:

  • Store Your Content on our servers
  • Display Your Content to team members you've invited
  • Use Your Content for service improvement and analytics (in anonymized/aggregated form only)

Cadence may NOT:

  • Sell, license, or commercially monetize Your Content
  • Share Your Content outside your team without explicit consent
  • Use Your Content in marketing or promotional materials

Your Rights

You retain ownership of Your Content. Your Content is not our content, and we do not claim any proprietary rights to it. You are responsible for ensuring Your Content does not infringe on the rights of others.

Prohibited Content

You agree not to upload or submit content that:

  • Is illegal or promotes illegal activity
  • Is defamatory, libelous, slanderous, or violates others' rights
  • Infringes on intellectual property rights (copyright, trademark, patent)
  • Contains graphic violence, hate speech, or discrimination
  • Is sexually explicit or exploitative
  • Violates Discord's Terms of Service or Community Guidelines

Removal of Content

We will remove content that violates these terms. Except in cases of illegal content or security threats, we will:

  • Provide 7 days' notice before removal
  • Explain the specific violation
  • Allow you to appeal or request modification instead of removal

4. User Accounts and Account Security

Account Creation

When you create an account with Cadence, you must:

  • Provide accurate, complete, and current information
  • Be at least 13 years old
  • Not impersonate others or create accounts for others
  • Update your information to keep it accurate

Account Security

You are responsible for:

  • Maintaining the confidentiality of your password
  • Maintaining the security of your Discord account (used for auth)
  • All activities that occur under your account
  • Notifying us immediately of unauthorized access

We are not responsible for unauthorized access to your account due to your negligence. If you believe your account has been compromised, contact us immediately at support@unknownhost.name.

5. Subscriptions and Billing

Premium Subscriptions

Cadence offers optional Premium subscription plans. When you purchase a Premium subscription, you agree to:

  • Pay the stated subscription price
  • Allow automatic recurring billing on your chosen billing cycle (monthly, yearly, etc.)
  • Keep your payment information current and accurate

Billing and Payment

All billing is processed through Stripe via Autumn. Your billing is subject to:

We are not responsible for declined payments, failed transactions, or billing disputes. Contact Stripe or Autumn for billing issues.

Refunds

Premium subscriptions are generally non-refundable. However:

  • You can cancel your subscription at any time through your account settings
  • Cancellation takes effect at the end of your current billing period
  • EU/EEA Users: If you are located in the EU/EEA, you have the right to withdraw from your subscription within 14 days of purchase and receive a full refund, unless you have explicitly consented to immediate access and acknowledged that you will lose your right of withdrawal
  • You are entitled to refunds or credits as required by applicable consumer protection laws in your jurisdiction
  • Refund requests should be directed to support@unknownhost.name

Price Changes

We reserve the right to change subscription prices at any time. Price changes will take effect at the renewal of your current billing period. We will notify you of price changes at least 30 days in advance. If you do not agree to the new price, you may cancel before the change takes effect.

6. Privacy

Your privacy is important to us. Please review our Privacy Policy, which is incorporated into and governs your use of Cadence, to understand our practices regarding collection, use, and protection of your personal data.

7. Third-Party Services

Cadence integrates with several third-party service providers. By using Cadence, you acknowledge that you are also subject to the terms of service of these third parties.

Autumn (Subscription Management)

Autumn handles subscription lifecycle management, billing cycles, upgrades, downgrades, and feature access for Premium subscriptions. Autumn's terms of service are available at useautumn.com/terms.

Stripe (Payment Processing)

Stripe, Inc. processes all payment transactions for Premium subscriptions. When you purchase a Premium subscription, you agree to Stripe's Terms of Service and Privacy Policy. Your payment information is processed and stored by Stripe, not by Cadence.

Vercel (Hosting)

Vercel, Inc. provides cloud hosting, deployment, and infrastructure services for Cadence. Vercel's services are subject to their Terms of Service. By using Cadence, you acknowledge that Vercel hosts the application and may collect technical data necessary for service delivery.

Discord (Authentication and Notifications)

Discord, Inc. provides authentication and notification services. By signing in with Discord or receiving notifications through Discord, you agree to Discord's Terms of Service and Privacy Policy. You are responsible for maintaining the security of your Discord account.

Third-Party Service Failures

If a third-party service (Discord, Stripe, Vercel) fails or becomes unavailable:

  • Cadence will make reasonable efforts to restore service or provide an alternative
  • If the outage lasts more than 24 hours, you may request a pro-rata refund for that period
  • We are not liable for data loss caused by third-party failures, but we commit to maintaining backups

8. Account Suspension and Termination

Termination by You

You may terminate your account at any time by visiting your account settings and selecting "Delete Account". Upon termination:

  • Your account will be deleted and you will lose access to Cadence
  • Your personal data will be deleted per our Privacy Policy
  • Any Premium subscription will be canceled immediately
  • You will not receive a refund for any remaining subscription time

Termination by Cadence

We may suspend or terminate your account only for the following specific reasons:

  • Violation of laws or illegal activity
  • Harassment, threats, abuse, or violence toward other users
  • Unauthorized access attempts or hacking
  • Uploading malware or malicious code
  • Repeated spam or phishing activities
  • Impersonation of others

Before termination (except in cases of emergency security threats), we will:

  • Provide written notice describing the specific violation
  • Allow you 7 days to respond or cure the violation
  • Provide a clear explanation of our decision

Effects of Termination

Upon termination of your account (by you or by us):

  • You lose all rights to use Cadence and access your account
  • Your personal data will be handled according to our Privacy Policy
  • Event and team data may be retained for other team members
  • Paid subscriptions are non-refundable unless required by law

Appeal Process

You may appeal any termination within 30 days by emailing support@unknownhost.name with evidence that the decision was made in error. We will respond within 15 days with a final decision.

9. Intellectual Property

Cadence's Intellectual Property

All content, features, and functionality of Cadence (including but not limited to software, code, design, text, graphics) are owned by Cadence, its licensors, or other providers of such material, and are protected by copyright, trademark, and other laws.

User Content Ownership

You retain all ownership rights to Your Content (events, teams, messages, etc.). By submitting Your Content, you grant Cadence the rights described in Section 3.

Copyright Infringement

In accordance with the Digital Millennium Copyright Act (DMCA), we designate our support email address as formal point of contact to receive notifications of alleged copyright infringement. If you believe your copyrighted work has been infringed on Cadence, please contact us immediately at support@unknownhost.name with:

  • Your name and contact information
  • Identification of the copyrighted work you claim has been infringed
  • Location of the infringing content on Cadence
  • A statement that you have a good faith belief the use is infringing
  • Your signature (electronic is acceptable)

We will investigate and remove infringing content if we determine an infringement has occurred. Repeat infringers may have their accounts terminated.

10. Disclaimers of Warranty

Cadence is provided "as is" with no warranties regarding uninterrupted service. However, we warrant that:

  • We will maintain reasonable security practices
  • We will use commercially reasonable efforts to maintain availability
  • We will not intentionally delete or corrupt your data

11. Limitation of Liability

Notwithstanding the above, Cadence shall not be liable for indirect or consequential damages. However:

  • Our liability cap is the greater of: (a) 100% of amounts you paid in the past 12 months, or (b) $25
  • This cap does NOT apply to: gross negligence, willful misconduct, or unauthorized access to your data caused by our security failures
  • You are entitled to refunds or credits as required by applicable consumer protection laws

12. Age Restrictions

Cadence is intended for users 13 years of age or older. By accessing Cadence, you represent and warrant that you are at least 13 years old. Cadence is not intended for users under 13 years of age.

If we discover that someone under 13 is using Cadence without proper authorization, we will terminate their account immediately and delete their personal information in accordance with our Privacy Policy.

13. Service Level and Availability

No Guarantee of Uptime

We strive to maintain high availability of Cadence, but we do not guarantee any specific uptime percentage or service level. We may experience downtime for:

  • Scheduled maintenance
  • Emergency maintenance for security or stability
  • Service provider outages (Vercel, Discord, etc.)
  • Technical issues beyond our control

No Liability for Downtime

We are not liable for any damages, losses, or business interruption caused by downtime or service interruptions. You are responsible for backing up your own data.

14. Governing Law and Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of the United States of America and the State of Indiana, without regard to its conflicts of law principles.

Any dispute arising out of or related to these terms or your use of Cadence shall be subject to the exclusive jurisdiction of the courts of the State of Indiana, and you agree to submit to the personal jurisdiction of such courts.

15. Severability

If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be severed, and the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.

16. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Cadence regarding your use of Cadence and supersede all prior and contemporaneous agreements, understandings, and communications. If there is any conflict between these Terms and the Privacy Policy, the Privacy Policy controls regarding privacy and data handling matters.

17. Changes to Terms

We may update these Terms of Service at any time. We will notify you of material changes by posting the updated terms on this page and updating the "Last updated" date. Material changes will take effect 30 days after posting.

Your continued use of Cadence after changes become effective constitutes your acceptance of the updated terms. If you do not agree to the changes, you must stop using Cadence and terminate your account.

18. Waiver and Cumulative Remedies

The failure of Cadence to enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. The remedies available to Cadence are cumulative and in addition to any other remedies available at law or in equity.
